Welcome to Off Trail Studios (“Off Trail Studios,” “we,” “our,” or “us”). Off Trail Studios is operated by Rachele Liba and Harrison Long.

These Terms and Conditions (“Terms”) govern your use of offtrailstudios.com (the “Website”). By accessing or using the Website, you agree to these Terms. If you do not agree with them, please do not use the Website.

These Website Terms are separate from any project-specific proposal, invoice, service agreement, licence, or other written agreement entered into between you and Off Trail Studios. Where a project-specific agreement contains different terms, that agreement will govern the relevant project.

Intellectual Property

Copyright

The original content and creative materials created by Off Trail Studios and displayed or made available through the Website are protected by applicable copyright and other intellectual property laws.

Protected materials may include, where applicable, original:

Graphic design and artwork
Branding and identity materials
Website content and written copy
Portfolio presentations
Service and package materials
Package structures, layouts, and presentation materials
Creative frameworks and supporting documentation
Merchandise and physical-product designs
Marketing and promotional materials
Music, sound recordings, audio productions, and related audio materials
Guides, resources, templates, graphics, and other original creative assets

Certain original Off Trail Studios materials are included in U.S. Copyright Registration No. VA 2-446-696, titled Off Trail Studios Music Industry Graphic Design Services and Packaging Structure.

Except where permitted by applicable law or expressly authorised by Off Trail Studios, our copyrighted materials may not be copied, reproduced, republished, modified, adapted, distributed, displayed, sold, licensed, or commercially exploited without prior written permission.

Nothing in these Terms is intended to claim intellectual property rights beyond those provided under applicable law.

Portfolio and Third-Party Materials

Our portfolio may include work created for clients or incorporate photographs, music, trademarks, text, artwork, or other materials owned or licensed by clients or third parties.

Those third-party materials remain the property of their respective rights holders. Off Trail Studios claims intellectual property rights only in the original work, materials, and creative contributions owned by Rachele Liba, Harrison Long, or Off Trail Studios, as applicable.

Content Attribution

Unless otherwise stated, original visual and graphic design work by Off Trail Studios is primarily created by Rachele Liba, and original audio production, mixing, mastering, and related audio work is primarily created by Harrison Long.

Specific ownership, licensing, usage, and portfolio rights relating to client projects may be governed by the applicable project agreement.

Trademarks

Off Trail Studios® is a registered trademark in the United Kingdom, Registration No. UK00004291875, owned by Rachele Liba.

The registered mark covers services including audio recording and production as well as graphic design, visual design, artwork, branding-related design, packaging, website design, merchandise design, and related creative services.

The Off Trail Studios name, logos, symbols, graphics, and other brand identifiers may also be protected by copyright, trademark, design, or other applicable intellectual property rights.

You may not use Off Trail Studios branding in a manner that suggests affiliation, endorsement, sponsorship, or association with Off Trail Studios without prior written permission.

Permitted Website Use

You may access and use the Website for lawful personal or business informational purposes.

You may not, without prior written permission:

Reproduce or commercially redistribute Website content.
Present our work as your own or remove copyright, trademark, attribution, or ownership notices.
Copy or substantially reproduce Off Trail Studios creative materials for commercial purposes.
Use Website content to create unauthorised derivative works.
Scrape, systematically extract, harvest, or compile Website content for commercial use.
Use Off Trail Studios copyrighted materials as training data, reference datasets, or source material for machine-learning or generative-AI systems without express written permission.

You retain ownership of materials you submit to Off Trail Studios, such as music, artwork, photographs, project information, reference materials, or other content, subject to any rights belonging to third parties.

By submitting materials to us, you confirm that you have the right or authority to provide them for the intended purpose.

You grant Off Trail Studios a limited, non-exclusive permission to access, review, store, reproduce, or otherwise process those materials only as reasonably necessary to respond to your inquiry, assess a potential project, communicate with you, or provide services you have requested.

Submitting materials through the Website does not grant Off Trail Studios a general, perpetual licence to commercially exploit your work.

Any additional rights relating to client work, portfolio display, publication, licensing, or project deliverables will be governed by the applicable project agreement or separate permission.

Services

Off Trail Studios provides creative services primarily for musicians, artists, and other creative clients, including visual design, branding, artwork, websites and EPKs, merchandise and physical-release design, creative direction, audio production, mixing, mastering, editing, consulting, and related services.

We may also offer packaged combinations of services, resources, consultations, and other creative offerings.

Descriptions, examples, estimated timelines, prices, and availability displayed on the Website are provided for general information and may change from time to time. Displaying a service or package on the Website does not guarantee availability or create an obligation for Off Trail Studios to accept a particular project.

A project is not confirmed until the applicable parties have agreed to the relevant scope, price, payment requirements, and other project terms.

Project Agreements and Payment

Project-specific terms may include the project scope, deliverables, pricing, deposits, payment schedules, revisions, deadlines, cancellation or rescheduling terms, rush fees, late-payment provisions, intellectual property ownership, licensing, usage rights, and other project requirements.

These terms will be communicated through the applicable proposal, invoice, contract, service agreement, or other written project documentation.

Where project-specific terms conflict with these Website Terms, the project-specific agreement will govern the project.

Nothing on this Website alters any payment, ownership, licensing, cancellation, or other obligations separately agreed between Off Trail Studios and a client.

Our collection and use of personal information is described in our Privacy & Cookies Policy, which forms part of our Website practices.

By submitting personal information through the Website, you acknowledge that it will be handled in accordance with that policy and applicable data protection law.

Project-specific liability terms, where applicable, may be contained in the relevant client agreement.

These Website Terms are governed by the laws of England and Wales.

Subject to any mandatory rights or protections that apply to you under the law of the country or state in which you reside, disputes relating to these Website Terms will be subject to the jurisdiction of the courts of England and Wales.

A separate client or project agreement may specify a different governing law or dispute-resolution arrangement, in which case that agreement will govern the relevant project.

Nothing in these Terms is intended to limit any consumer rights that cannot lawfully be excluded or restricted.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our Website, services, business practices, or legal requirements.

The date at the top of this page will indicate when the Terms were most recently updated.

Changes to these Website Terms will not retroactively alter the terms of an existing client project where separate project terms have already been agreed, unless the parties separately agree otherwise.

General

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply.

A failure by Off Trail Studios to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision in the future.
